Terms of Service

Welcome to ShopiSync ("we", "our", "us"). These Terms of Service govern your use of the ShopiSync application and services. By installing, accessing, or using ShopiSync, you agree to be bound by these terms.

1. Service Description

ShopiSync is a Software-as-a-Service (SaaS) platform that provides competitor price monitoring and automatic repricing functionality for Shopify merchants. Our service includes:

• Price Monitoring: Automated tracking of competitor product prices on URLs you specify, supporting any e-commerce website or online retailer worldwide
• Automatic Repricing: Dynamic price adjustment in your Shopify store based on competitor data and rules you configure
• Analytics Dashboard: Real-time insights into your competitive position, price history, and market trends
• Product Synchronization: Automatic import and sync of your Shopify product catalog
• Data Export: Excel and CSV export functionality for reporting and analysis

2. Subscription Plans & Pricing

ShopiSync offers the following subscription plans:

All plans include unlimited competitors per product. Prices are in USD and exclude applicable taxes.

2.1 Free Trial

New users receive a 7-day free trial with full access to their selected plan's features. No credit card is required to start the trial. At the end of the trial period, you must subscribe to continue using the service.

2.2 Billing

• Subscriptions are billed monthly in advance via Stripe
• You authorize us to charge your payment method on file automatically each billing cycle
• Failed payments may result in service suspension until payment is resolved
• All fees are non-refundable unless otherwise stated or required by law

2.3 Plan Changes

• You may upgrade your plan at any time; changes take effect immediately and are prorated
• Downgrades take effect at the start of the next billing cycle
• If you exceed your plan's product limit, you must upgrade or reduce monitored products

3. Account Requirements

• You must have an active Shopify store to use ShopiSync
• You must be at least 18 years old or the age of majority in your jurisdiction
• You must provide accurate account information during registration
• You must grant the required Shopify permissions during installation (product read/write access)
• You are responsible for maintaining the security of your Shopify account and ShopiSync access
• You must notify us immediately of any unauthorized access to your account

4. Acceptable Use

You agree to use ShopiSync only for lawful business purposes. You may NOT:

• Use the service to engage in price fixing, market manipulation, or anti-competitive practices
• Monitor competitor prices for purposes other than your own pricing decisions
• Resell, redistribute, or share your ShopiSync access with third parties
• Attempt to overload, abuse, or reverse-engineer our scraping infrastructure
• Circumvent any usage limits or security measures
• Use the service for any illegal purpose or in violation of any applicable laws
• Scrape or collect data from ShopiSync for use outside the intended service

5. Automatic Price Changes

By enabling automatic repricing features, you explicitly acknowledge and agree that:

• ShopiSync will automatically modify your Shopify product prices without manual confirmation
• Price changes are executed based on the rules, strategies, and minimum prices YOU configure
• You are solely responsible for setting appropriate minimum prices to protect your margins
• You should regularly review and verify that pricing rules are working as intended
• We are not liable for any pricing errors, lost revenue, or margin compression resulting from automatic repricing
• Price changes may be delayed due to Shopify API rate limits or system maintenance

6. Data & Privacy

Your use of ShopiSync is also governed by our Privacy Policy. Key points:

• We access your Shopify product data only to provide the service
• We store competitor URLs and price data that you configure
• We do not access or store your customer data
• We do not sell your data to third parties
• Data is stored securely on servers within the European Union

7. Service Availability & Limitations

• We strive for high availability but do not guarantee uninterrupted service
• Scheduled maintenance will be announced in advance when possible
• Competitor websites may block our monitoring, affecting price data availability
• Price data accuracy depends on the structure and accessibility of competitor websites
• We reserve the right to modify, suspend, or discontinue features with reasonable notice
• API rate limits from Shopify may affect the speed of price synchronization

8. Intellectual Property

ShopiSync, including its name, logo, software, design, and documentation, is owned by ShopiSync and protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or create derivative works of ShopiSync
• Reverse engineer, decompile, or disassemble any part of the service
• Remove or alter any proprietary notices or labels
• Use our trademarks without prior written permission

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• ShopiSync is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied
• We do not warrant that the service will be error-free, secure, or uninterrupted
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• We are not liable for lost profits, lost revenue, lost data, or business interruption
• Our total aggregate liability shall not exceed the fees you paid to us in the 12 months preceding the claim

10. Indemnification

You agree to indemnify, defend, and hold harmless ShopiSync and its owners, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the service
• Your violation of these terms
• Your violation of any third-party rights
• Any pricing decisions or business outcomes resulting from your use of ShopiSync

11. Termination

• You may cancel your subscription at any time via the Stripe customer portal or by contacting support
• Cancellation takes effect at the end of the current billing period
• You may uninstall ShopiSync from your Shopify admin at any time
• We may suspend or terminate your access immediately for violation of these terms
• We may terminate inactive accounts after 12 months of non-use with prior notice
• Upon termination, your data will be deleted within 30 days per our Privacy Policy

12. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify you of material changes via email or in-app notification at least 14 days before they take effect. Continued use of ShopiSync after changes constitutes acceptance of the new terms. If you do not agree to the changes, you must stop using the service and cancel your subscription.

13. Governing Law & Disputes

These terms are governed by the laws of the Netherlands. Any disputes arising from these terms or your use of ShopiSync shall be resolved in the courts of the Netherlands. Before initiating legal proceedings, you agree to first attempt to resolve disputes through good-faith negotiation by contacting us at info@shopisync.io.

14. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and ShopiSync regarding your use of the service and supersede any prior agreements.
